Explanation of Major Changes in Bylaws

Your Board of Directors has revised and amended the bylaws of the League of Women Voters of Honolulu. Enclosed in this newsletter is a copy provided for your review and consideration. The agenda for the December 2005 annual meeting will include a discussion of this revision and a vote on acceptance. Since housekeeping edits have been extensive, no annotations of changes have been made. Here is an explanation of the major changes.

ARTICLE III Membership
Current rule: Sec. 2., a) Voting members shall be citizens at least 18 years of age.
Change: Sec. 2., a) Voting members shall be citizens at least 18 years of age and pay dues.
Current rule: Sec. 2., b) Associate members shall be all other members.
Change: Sec. 2., b) Members enrolled in the league 50 years or more shall be associates and shall not be required to pay annual dues. Associates shall also be long affiliated, no longer active, supporters of the League. Newsletters shall continue to be mailed to associates.

ARTICLE VI Financial Administration
Current rule: Sec. 3. Budget. A budget for the ensuing year shall be submitted by the Board of Directors to the Annual Meeting for adoption. The budget shall include support for the work of the League as a whole.
Change: Sec. 3. Budget. A budget for the ensuing year shall be submitted by the board to the members at the annual meeting for adoption. The budget shall include support for the work of the League and operation of an office. Budget discussions shall be initiated in the December/January board meetings. The proposed budget shall be distributed to members in the February/March newsletter for consideration.

Current rule: Sec. 4. Budget Committee. A Budget Committee of five members shall be appointed by the Board of Directors not later than January 1 to prepare a budget for the ensuing year. The Treasurer and Finance Chair shall be included in the five members of the Budget Committee but neither shall be its chair. The Budget Committee shall present the budget to the Board for approval and one month before the annual meeting shall send the proposed budget to all members.
Change: Sec. 4. is deleted. The board of directors will develop a proposed budget during its regular meetings.

ARTICLE VII Meetings
Current rule: Sec. 2. Annual Meeting. An annual Meeting shall be held between March 1 and April 30, the exact date to be determined by the Board of Directors.

Current rule: Sec. 3. Quorum. Fifteen (15) members shall constitute a quorum at all meetings of the League of Women Voters of Honolulu.
Change: Sec. 3. is deleted. The rule has been incorporated into Sec 2. Annual Meeting.

Current rule: None.
Change: Add Sec. 3. Absentee or Proxy Votes. Absentee or proxy voting shall not be permitted.

ARTICLE VIII Nominations and Elections
Current rule: Sec. 2. Report of Nominating Committee and Nominations from the Floor. The report of the Nominating Committee of its nominations for Officers, Directors, and the members of the succeeding Nominating Committee shall be sent to all members one month before the date of the Annual Meeting.

Current rule: Sec. 3. Elections. .Absentee or proxy voting shall not be permitted.
